1. Acceptance of Terms

Welcome to HITL (Human-in-the-Loop). These Terms of Service ("Terms") govern your access to and use of the HITL mobile application, website, and related services (collectively, the "Service") operated by Chishingo Ventures Ltd. ("Company," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 13 years of age (or the minimum legal age in your jurisdiction) to use the Service. By using the Service, you represent that you meet this age requirement.

2. Description of Service

HITL provides an agentic mobile application that allows you to create, configure, and run AI agents on your phone, utilizing device capabilities and permissions you choose to authorize, along with an optional remote-agent hub connecting developer tools and MCP (Model Context Protocol) clients. The Service provides:

• On-device agent execution and management built through interactive chat
• Integration with mobile device features (including location and geofencing, health metrics, contacts, calendar, reminders, photos, camera, microphone, notifications, and accessibility screen analysis)
• AI inference routing to Google Vertex AI, OpenRouter, Bring Your Own Key (BYOK) providers, and experimental on-device models (Android only)
• Real-time push notifications for approvals, agent updates, and scheduled triggers
• An optional remote-agent hub for receiving and responding to external AI agent requests via MCP
• Subscription-based access to premium features and tiers

3. Public Beta Terms

The Service is currently made available as a public beta. By participating in the beta, you acknowledge and agree that:

• As-Is Basis: The beta Service is provided on an "as-is" and "as-available" basis, and may contain bugs, errors, or service interruptions
• Modifications & Pricing: Features, model access limits, integrations, and subscription pricing may change during the beta period
• Data Loss & Backups: Unexpected errors or data loss are possible during the beta. You are responsible for maintaining your own independent backups of essential data and communications
• Beta Suspension & Reset: We reserve the right to reset configurations, alter limits, or suspend or discontinue the beta at any time with or without prior notice

4. Subscriptions and Payments

4.1 Subscription Plans

The Service offers free and paid subscription tiers ("Pro" and "Max"). Paid subscriptions provide enhanced quotas, premium model routing, and advanced agent capabilities. Subscription features are active during the beta period.

4.2 Billing and Store Environments

• Apple TestFlight (iOS Beta): Subscriptions and in-app purchases initiated within Apple TestFlight operate in Apple's sandbox environment and are not charged to your real payment method.
• Google Play Store (Android): Purchases and subscriptions completed through Google Play Store are real transactions and will be charged to your Google Play payment account.
• Auto-Renewal: Standard subscriptions automatically renew unless cancelled at least 24 hours prior to the conclusion of the active billing period. You can manage or cancel your subscription at any time in your store account settings.

4.3 Refunds

Refund requests and billing determinations are governed exclusively by the applicable store refund policies (Apple App Store or Google Play Store). We do not process refunds directly.

4.4 Price Changes

We reserve the right to adjust subscription rates. Active subscribers will receive advance notice of price adjustments. Continued use of the Service after the effective date of a price change constitutes agreement to the updated pricing.

5. User Accounts

5.1 Account Creation

To access certain features, you must create an account. You may register using Google Sign-In, Apple Sign-In, or email authentication. You agree to provide accurate and complete registration information.

5.2 Account Security

You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately of any suspected unauthorized access.

5.3 Account Termination

You may terminate your account at any time via Settings → Account → Delete Account in the app, or by contacting us. We reserve the right to suspend or terminate accounts that breach these Terms.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate applicable laws, regulations, or third-party rights
• Transmit unauthorized, abusive, harassing, defamatory, or fraudulent content
• Upload malicious code, viruses, or harmful scripts
• Attempt unauthorized access to backend systems, user data, or API infrastructure
• Circumvent rate limits, quotas, security checks, or authentication barriers
• Scrape, reverse engineer, or decompile the application or backend APIs without authorization
• Deploy agents designed to engage in spamming, deceptive impersonation, or denial-of-service activities

7. Agent Actions and User Responsibility

By using HITL agents and automated triggers, you acknowledge and agree that:

• Sole Responsibility: You are solely responsible for all actions, communications, and modifications performed by agents on your behalf, including messages sent, emails drafted, calendar adjustments, reminder updates, web queries, and tool executions
• Draft Verification: AI models may generate inaccurate, misleading, or unexpected output. You agree to review and verify all message drafts, data modifications, and external actions before confirming or transmitting them
• Approved Actions: To the maximum extent permitted by law, Chishingo Ventures Ltd. is not liable for any actions, transactions, communications, or damages arising from agent actions that you approved, scheduled, or authorized

8. Third-Party Services and AI Providers

HITL interfaces with third-party AI models and cloud services to execute agent capabilities:

• Google Vertex AI (via Firebase AI Logic): Default model provider for in-app agents and voice processing, operating under Google Cloud data governance policies
• OpenRouter: Utilized for model proxy routing and user-selected model endpoints
• Bring Your Own Key (BYOK): When connecting your own API keys (e.g. OpenAI, Anthropic, Google, or custom OpenAI-compatible endpoints), requests are governed by your direct contract and terms with that provider
• On-Device Models (experimental, Android only): Local model execution where inference runs on your device hardware without routing requests to external cloud model providers

We do not warrant or guarantee third-party model availability, accuracy, or uptime. AI providers process data in accordance with their respective privacy policies and service terms.

9. User Content

You retain ownership of all prompts, content, and instructions you submit to the Service ("User Content"). You grant Chishingo Ventures Ltd. a limited license to process and transmit your content solely to provide, operate, and maintain the Service. You represent and warrant that your content does not infringe third-party rights or violate applicable law.

10. Intellectual Property

The Service, including its design, code, documentation, interfaces, and branding, is owned by Chishingo Ventures Ltd. and protected by intellectual property laws. We grant you a revocable, non-exclusive, non-transferable license to use the app for personal or authorized business purposes in accordance with these Terms.

You agree to indemnify, defend, and hold harmless Chishingo Ventures Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable legal expenses arising out of or related to your use of the Service, your violation of these Terms, or any agent actions configured, scheduled, or approved by you.

14. Governing Law and Jurisdiction

These Terms and any dispute arising from or related to the Service shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles.

Any legal proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in England and Wales, except where mandatory consumer protection laws in your jurisdiction require otherwise.

15. Dispute Resolution

Prior to initiating formal dispute proceedings, you agree to contact us at contact@hitlrelay.app to attempt informal resolution. If a dispute cannot be resolved informally within 30 days, it shall be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA) in London, United Kingdom, except where mandatory consumer protection laws in your jurisdiction provide otherwise. Disputes must be resolved on an individual basis, and you waive any right to participate in class or representative actions, subject to applicable mandatory consumer protection laws. Either party may also seek injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access to data.

16. General Provisions

These Terms, together with our Privacy Policy, constitute the complete agreement between you and Chishingo Ventures Ltd. regarding the Service. If any provision is deemed unenforceable, the remaining provisions remain in full force. Failure to enforce a provision does not constitute a waiver.

17. Changes to Terms

We may revise these Terms as our services and beta offerings evolve. When material updates are made, we will update the "Last Updated" date and provide notice through the application or website. Continued use of the Service after changes take effect indicates acceptance of the revised Terms.
